• This Contract for Services is dated as below between:
    A: Payco Services Limited (referred to as “the Contractor”) and:


  • SUBCONTRACTOR
    By signing to be bound by this contract the Subcontractor is confirming that whilst the Subcontractor is providing services to the Contractor it is doing so in the capacity of an independent business.

    THE SUBCONTRACTOR IS OBLIGED TO:
    – Act in a professional workmanlike manner at all times.
    – Make all reasonable attempts to work to the Contractor’s deadline.
    – Observe Health and Safety regulations regarding working hours and comply with all reasonable site guidelines relating to working hours and site security.
    – Correct any defective work in your own time without payment.
    – Where appropriate to provide your own safety equipment.
    – Comply with the Contractor’s anti-slavery policy and all applicable anti-slavery and human trafficking laws, statutes, regulations including but not limited to the Modern Slavery Act 2015.
    – Provide to the Contractor at the earliest opportunity sufficient information to enable the Contractor to verify the Subcontractor’s payment status with HM Revenue and Customs. The responsibility for the accuracy of this information rests with the Subcontractor and the Subcontractor will not be entitled to receive any payment under this contract until this information has been provided.
    – Pay your own Tax and National Insurance.
    – Ensure that any substitute or helper you contract with meets the same obligations.
    – Comply with its obligations under all applicable data protection legislation and the Contractor’s data protection policy.
    – Immediately notify the Contractor of any data breach about which the Subcontractor becomes aware.

    THE SUBCONTRACTOR IS NOT OBLIGED TO:
    – Work at a different site although the Subcontractor may agree to and may negotiate a new price for doing so.
    – Provide written tenders. Prices for all works will be agreed verbally from time-to-time.
    – Provide major items of equipment / materials.
    – Do any work. The Subcontractor may choose whether or not to provide services but is not under any obligation to do so.
    – Work fixed hours.

    THE SUBCONTRACTOR HAS THE RIGHT TO:
    – Decide what method to use to complete the work.
    – Leave the site without permission (although you should notify the Contractor for Health and Safety reasons).
    – Determine who does the work as long as they have the necessary experience and qualifications. The Subcontractor will always be paid directly for the services provided and it is up to the Subcontractor to pay those that the Subcontractor utilises to provide the agreed services. The Contractor wil have no contractual or financial relationship with those that the Subcontractor engages to provide the agreed services (the Subcontractor must always ensure the contractor knows who is carrying out the work)
    – End this contract without giving notice.
    – Take legal advice before signing this contract, and to have a copy of it.

    THE SUBCONTRACTOR (OR THOSE ENGAGED BY THE SUBCONTRACTOR) DOES NOT HAVE THE RIGHT TO:
    - Holiday pay, sick pay or pay for work cancelled for any reason
    – Take part in the Contractor’s grievance procedure. – Allow anyone to hold themselves out as being an employee or worker of the Contractor.

    By signing this contract the Subcontractor is agreeing to be bound by its terms and the Subcontractor is agreeing that these terms will govern the working relationship between the Subcontractor and the Contractor. The Subcontractor also agrees that the terms of this contract represent the whole contract between the Subcontractor and the Contractor with the exception of any verbal negotiation about price or location of the services.

    CONTRACTOR
    The Contractor intends that in this working relationship the Subcontractor is an independent business.

    THE CONTRACTOR IS OBLIGED TO:
    – Provide safety equipment where this may be appropriate.
    The Contractor takes its Health and Safety responsibility seriously and therefore will provide all of the safety equipment used on their site either by employees or subcontractors and their substitutes or helpers where it is requested.
    – Provide a pay statement to the Subcontractor in accordance with the requirements of the scheme.
    - Comply with its obligations under all applicable data protection legislation.

    THE CONTRACTOR IS NOT OBLIGED TO:
    – Offer any work. The Contractor may offer the Subcontractor the opportunity to provide your services but is not obliged to.

    THE CONTRACTOR HAS THE RIGHT TO:
    – End this contract without giving notice.
    – Take legal advice before signing this contract.

    THE CONTRACTOR DOES NOT HAVE THE RIGHT TO:
    – Control the methods the Subcontractor uses to provide the services to the Contractor.
    – Supervise, direct or control the manner in which the Subcontractor chooses to provide the services
    – First call on the Subcontractor’s services – we cannot expect the Subcontractor to drop whatever it is doing to come and provide services to the Contractor.

    By signing this contract the Contractor is agreeing to be bound by its terms and the Contractor agrees that these terms will govern the working relationship between the Contractor and the Subcontractor.

    The Contractor is also agreeing that the terms of this contract represent the whole contract between the Subcontractor and the Contractor with the exception of any verbal negotiation about price or location of the services.

    GENERAL
    This Contract is governed by the laws of England and Wales is subject to the exclusive jurisdiction of the English and Welsh Courts. Breach of any clause or clauses in this contract will not void or annul this Contract for Services as a whole in any circumstances.
